TERMS & CONDITIONS INTERNATIONAL

I. Pricing Terms

Ex works our factory in Semarang, Indonesia or otherwise mentioned in our quotations.

II. Payment Terms

50% deposit payment is required to confirm order for production, with balance payable before shipment. Balance payments must be received before the order completion date to facilitate the shipping arrangements. Factory will not make any shipment booking with the forwarder/shipping company if payment is not received.

Any costs associated with delays in shipments, booking cancelations, customs holding costs etc. which are caused by late payments will be borne by the customer.

All orders must be picked up within 2 weeks of order completion date as notified, otherwise storage charges may be imposed. Delays resulting from late payments and shipment delays will result in accrual of storage charges which will be required to be paid in full before the release of goods.

III. Order Processing

Customers are required to endorse on our Sales Quotations and any requested drawings for full acceptance to the quotation details, terms and conditions, and accompanied by the deposit payment before order will commence production.

Order changes may be allowed within 3 days from the order issue date but will be subjected to approval. The factory will not release any orders to production where information on the products, fabric or finish changes is incomplete.

Our average production lead time is 12-14 weeks from the receipt of the order confirmation accompanied by payment, subject to production capacity and materials availability. Additional lead time of 2-4 weeks may apply for customized requests. You will be updated if there are any changes to the lead time.

Should Customer opt not to ship a completed order and instead choose to delay shipment not due to factory's production issues for more than 2 weeks upon order completion, storage charges will apply. Reinspection charges may also be imposed should factory deem it necessary to unpack and recheck the completed items which are not ship for more than 1.5 months, not due to production delays. Christopher Guy office will advise the storage and reinspection charges and full payment will be required before shipment will be released.

Any requests for rush production must be submitted to our Christopher Guy office for review and approval before committing any delivery to your customers. For rush production on reduced lead time, surcharges will apply.

IV. Shipping & routing

All shipments are based on Ex-works factory terms unless otherwise agreed separately. Customer is to appoint own forwarding agent to pick up the goods from Factory and handle all origin shipping documents at own costs, including but not limited to Documents Legalization costs, Fumigation, Phytosanitary Inspection or any other special documents /inspection needed by Customer.

Customer must submit any request for any inspection of the goods in the factory in advance before order completion for our review. Christopher Guy office and factory reserves the right to accept or reject such requests. All costs for any inspection will be borne by the customer.

Customers will be required to furnish the complete Shipping Instructions as early as possible to facilitate the shipping arrangements. Incomplete and late receipt of Shipping Instructions may delay the shipment and both Christopher Guy and factory will not be responsible for these delays nor any associated costs.

Customer who does not have an appointed forwarder may request an air or ocean freight quote from our office. While we can provide freight quotations and suggest the forwarding company, Christopher Guy and our factory do not guarantee and holds no responsibility for the services of these third-party forwarders, should customer opt for our freight quotes. All freight charges must be paid in full before shipment. All freight quotes do not include destination duties and taxes.

Customer will not hold Christopher Guy and factory liable if the service provided by the recommended forwarder does not meet Customer's expectations. It remains at the customer's own risk and full discretion should the customer opt to accept the freight quotation from Christopher Guy and factory.

We encourage all customers to purchase insurance on the value of the goods regardless of the method of shipment.

V. Packing

A 5% packing surcharge for wood crating will be applied automatically to all Airfreight (palletized) and LCL shipments in view of the higher handling risks for these shipments.

Customer may opt for this wood crating for added protection for full container load shipments, at a 5% surcharge of the item value.

V. Freight Policy

Title passes to the purchaser at the time the goods are picked up by the carrier at in the factory. All products are carefully packed and inspected prior to shipment. The refusal of damaged merchandise in no way relieves the purchaser of responsibility for payment of goods. We are not responsible for loss or damage in transit. Should visible or concealed damage occur in transit, immediately notify the delivering carrier with initial notification of intent to file a claim. We strongly advise all customers to purchase ex- factory insurance for all shipment through their own forwarding agent.

VII. Return Authorization / Warranty

Unauthorized returns will be refused at the Customer's own expense without the prior written consent from the Christopher Guy (CG)'s office. Any claims for returns or credits will be handled on a case-by-case basis upon receipt of complete and bona-fide documentation on the nature of the claim/defect. Claims in regards to manufacturing defects must be submitted within 15 days of receipt of the goods, along with detailed photos/videos of the unpacking process, damaged/defective item, together with the completed "Product Defect Report" with full details of the issue in question. Insufficient/incomplete information will delay the review process.

Christopher Guy products are covered under 12 months' warranty against manufacturing defects from the date of delivery ex-factory, and the products are used for normal, residential indoor use and are stored in the correct environment . Warranty is given to the original purchaser at the original shipping address of the order.

Unless stated in writing in official CG writings or CG printed matter, all our furnishings are designed for non-commercial domestic purposes only, meant for residential indoor use in conducive climate control surroundings.

For claims submitted beyond the 12-month warranty, these will be reviewed case-by-case basis at Christopher Guy's full discretion and our decision is final.

Christopher Guy is not responsible for any damages incurred during transit, shipping, handling, negligence, misuse, or abuse of the product. We reserve the right to decline any claims which, in our reasonable opinion, have become of unacceptable quality due to fair wear and tear, misuse; or as a result of failure to take reasonable care of the product even if reported within the 12 months warranty period.

Repair costs incurred without prior approval from our office will not be reimbursed. Shipping of all replacements will be on Ex-works factory terms.

VIII. Ordering Policies

• i. Pairs and sets

  Due to the handmade nature of the products, pairs and sets should be ordered together and in the same finish and fabrics supplied as a set.

• ii. Order Change and Cancellation:

  Cancellations and changes to orders will not be accepted after 3 days from the order issue date, due to the customization nature of the products. All requests for changes will still be subjected to approval even within the 3-day period, depending on the nature of the change and production status Please note that the day you inform us of the change/ cancellation will not be regarded as a business day in advance.

  Should an order be approved to be cancelled after 3 days, all deposits paid will be forfeited. Cancellations and changes are not accepted on 3rd party items and Special Order Dimensions (SOD) / customized items/ changes of finish (SOF).

• iii. SOD (Special Order Dimensions/Customization ) Policy

  Customizations of Christopher Guy products such as modifications in dimensions, materials are available as a premium service. All SOD requests for Christopher Guy products will be considered based on the type of customization requested as well as order quantities and order value. Surcharges and a longer production lead time will apply to customized products. Requests are to be submitted thru your Christopher Guy Representative using the SOD Request Form.

  Below conditions will apply for requests of Special Design order and customizations using any paintings/ images/photos provided by Customer :

  • a.

    The customer has requested Christopher Guy to produce a painting (regardless famous or not) in the form of mosaic and/or artwork "Customer Special Request Design";

  • b.

    The customer declares and agree to use the Customer Special Request Design for personal use only;

  • c.

    The customer hereby acknowledges, declares, covenants, agrees, responsible and undertakes to fully indemnify CG and its supplier (if any) at all times from and against any and all losses, threats, liabilities, suits, damages, claims (collectively, "Losses"), and consequences arising from Customer Special Request Design and/or any conduct of customer, and defend and save harmless CG and its supplier (if any) from Losses suffered, sustained or required to be paid by, or sought to be imposed upon CG and its supplier (if any) arising from Customer Special Request Design, in any form whatsoever which may arise because of the same from copyrights infringements matter.

• Customized items are strictly non-cancellable. We reserve the right to request full payment including related surcharges incurred in the development and designing process of the products, upon order confirmation, before commencement of production. Such charges can include costs for drawings, samples /prototypes (if requested) or any other related costs as quoted for the customized product.

IX. Finishing Surcharges and Pricing Guidelines

Each Christopher Guy product is offered in finishes as listed on our website. Selecting a CG finish that is outside of the options (As "Special Finish") listed on the website will incur a higher pricing as published on website. Special finish are subject to our approval as not all finishes can be applied on certain materials/ models due to technical limitations.

Customized finishes using customer's own finish will be subjected to our approval and will incur a surcharge, a longer lead time and apply for minimum quantities. Charges will apply for the factory to produce a sample finish swatch. All costs associated with delivery of the sample swatch to factory and to customer will be fully borne by the customer. Limited warranty will apply for such customized finishes.

X. Finish Samples Usage Guidelines

All Christopher Guy finish samples are handcrafted and intended strictly as color references. Slight color variations between finish samples and completed furniture pieces are to be expected as part of the artisanal process and are not considered defects.

Each Christopher Guy piece is individually hand-finished, and variations in color and appearance may occur due to factors such as carving details, surface area, wood grain, and lighting conditions.

Over time, the appearance of finish samples may change due to exposure to light, humidity, and other environmental conditions. Our factory will always produce finishes based on Christopher Guy's current standard at the time of production.

XI. Upholstery Surcharges And Pricing Guidelines

Christopher Guy offers a wide selection of fabrics in an array of colors. Updated fabric selections and their corresponding grades are listed on the Christopher Guy website at www.christopherguy.com/swatches

When 2 or more different Christopher Guy fabrics are utilized on a single item, the higher fabric grade pricing applies. The request is also subjected to our approval depending on the model and design.

Request to apply a combination of CG fabric/leather and customer's own material/leather (COM/COL) on a single item is subjected to approval and surcharges may apply.

XII. Contrasting Throw Pillows

Contrasting throw pillows that are of a higher grade fabric than the main sofa/chair upholstery will be priced at USD130 / EUR115 / GBP105 / SGD 165 surcharge per pillow area.

XIII. Back Cushions and Throw Pillows

Many of our Christopher Guy's upholstered items are provided with throw pillows as standard. The catalog and website images illustrate the pillow configuration for each item and cannot be changed unless ordered as a customized/SOD item. No discount is given if Customer opts to remove the throw pillows from the sofa/chair. Additional throw pillows and bolsters can be ordered at extra costs. All throw pillows do not come with welting. If welting is requested for pillows, surcharges may apply.

XIV. Welting / Piping

Christopher Guy's upholstered items are self-welt. If contrasting welting/piping is requested, this is subject to approval and surcharges may apply.

Not all models come with welting/piping as part of the standard design. If welting/piping is requested for such models, this is subjected to approval, treated as a customized order and surcharges may apply.

XV. COM/COL (Customer's Own Material/Customer's Own Leather)

Customers may opt to use their own fabric/leather selections on Christopher Guy upholstery. The COM / COL price is published on our website, along with the yardage information based on a single fabric/leather.

If 2 or more different COM/COL materials are utilized on a single item, this is subject to approval and should be checked in advance before confirming the COM/COL application and may incur surcharges.

The most complex aspect of upholstered furniture production is the application of the fabric supplied. To ensure the final results meet the customer's expectations, COM/COL orders will require a completed COM Instruction Form from customer. When placing orders with COM/COL, customers will receive, along with their order acknowledgement, a COM/COL Instructions Form to be completed with the application instructions for the factory.

It is the full responsibility of Customer to ensure the COM/COL they selected are suitable for the upholstery of the furnishings ordered and are shipped in good condition and sufficient quantity to the factory. Christopher Guy and factory hold no responsibility for the condition and quality of the COM/COL received.

• i. COM Yardage Guide

  All COM yardage requirements are based on standard 55"/140cm wide plain or textured fabric that require no motif matching and are cut to the best possible yield consistent with good appearance and tailoring.

  Customer can refer to our website www.christopherguy.com for the fabric/ leather yardage required for each model or contact your Christopher Sales Representative or Client Services team to obtain the accurate fabric/ leather yardage quantity needed for your order.

• ii. COL Guide

  Due to the irregularity of leather hides, sectional sewing or seams will be applied at the company's discretion in the event that the size of the hide is insufficient to cover the entire upholstery surface. We advise customers that our headboards and high back/large sofas, in particular, will have seams when covered in leather due to the large surface area to be covered.

XVI. Shipping of COM/COL(Customer's Own Material/Own Leather)

All COM/COL are to be sent promptly to factory to enable factory to adhere to the lead time committed. Late delivery of COM/COL will affect production leadtime and our factory will not be liable for such delays. Christopher Guy reserves the right to charge storage costs for COM/COL items if the COM/COL is not received after 4 weeks of order confirmation. Please refer to the instructions given for sending COM/COL to the factory.

Customer is fully responsible for the ordering and shipping of COM/COL to factory. Christopher Guy and our factory do not procure the materials nor arrange shipping of COM/COL on customer's behalf.
